A consultancy agreement is a type of services agreement. The purpose of a consultancy agreement is to set out the terms upon which a person or company will provide services to the customer (for example, IT services, scientific expertise, or management advice).
Under a typical consultancy agreement, the obligation of the consultant is to devote time and professional expertise to the customer, rather than to achieve a particular goal or result. Remuneration can be calculated in many different ways; although it is not uncommon for a straighforward hourly rate to apply.
Key terms in a consultancy agreement may include: the definition of the consultant's duties; confidentiality undertakings from the consultant; an assignment of the intellectual property created by the consultant in the course of the consultancy; and non-solicitation clauses (for employed consultants especially).
